Description of Service

Coherendz India Private Limited ("SERVICE PROVIDER") provides web-hosted services to organisations through the proprietary Hoopstr networking engine. The platform functions as a closed, private, and trusted community enabling members to connect professionally and personally. Members can search for jobs, experts, contacts, or activity partners. Information sharing outside the service requires approval from both the operator and individual members.

By registering for or accessing the platform, you ("Member") agree to be bound by these Terms of Use and our Privacy Policy. The SERVICE PROVIDER reserves the right to modify these Terms at any time without advance notice.

Membership Eligibility

• Members must be at least 18 years of age. Operators may establish higher minimum age requirements.
• Members may not maintain more than one active account at any time.
• Accounts are personal and may not be transferred to another person.
• Registration must use accurate and truthful information.

Use of Service

Members are responsible for maintaining the confidentiality of their login credentials and are fully responsible for all activities that occur under their account. Sharing login credentials may result in suspension or termination. Members must immediately report any unauthorised access or security breach to the SERVICE PROVIDER.

Member Conduct

Members agree not to:

• Post or share unlawful, libellous, abusive, obscene, discriminatory, or otherwise objectionable content
• Engage in any illegal activity on or through the platform
• Impersonate any person or entity, or misrepresent affiliation with any person or entity
• Disclose confidential or proprietary information of any third party
• Collect, store, or transfer personal data about other members without consent
• Send unsolicited solicitations, spam, or promotional communications
• Distribute malware, viruses, or other harmful code
• Harass, bully, or intimidate other members
• Manipulate message headers or identifiers to disguise origin
• Use automated tools, bots, crawlers, or scrapers to access or extract data
• Interfere with or disrupt the platform, servers, or networks

International Use

Members must comply with all applicable local laws regarding online conduct and content, including technical data transmission regulations applicable in their jurisdiction.

Information Provided

Members are responsible for the accuracy of information they post. The SERVICE PROVIDER disclaims liability for content errors, unconfirmed data authenticity, or inaccuracies in member-provided information.

Termination

Either party may terminate with or without cause, immediately and without notice. Reasons may include policy violations, government requests, self-initiated deletion, technical issues, or extended inactivity. Upon termination, all access to the platform and associated data is permanently removed.

Monitoring and Enforcement

While the SERVICE PROVIDER reserves monitoring rights, it does not guarantee content accuracy or quality. Investigation and action regarding policy violations occur at the SERVICE PROVIDER's discretion and may include warnings, content removal, or account termination.

Fees

The OPERATOR and SERVICE PROVIDER reserve the right to charge for the SERVICE or any portion thereof, and to modify pricing at any time.

Indemnification

Members agree to indemnify and hold harmless the SERVICE PROVIDER and OPERATOR from any damages resulting from their use of the service, unauthorised access under their account, or related matters. Business transactions between members remain their sole responsibility. The SERVICE PROVIDER may disclose information when legally required or necessary for protection of rights.

Disclaimer of Warranties

The service is provided on an "AS IS" and "AS AVAILABLE" basis. The SERVICE PROVIDER assumes no responsibility for delivery, retention, accuracy, or existence of communications. All warranties — express and implied — are expressly disclaimed, including warranties of merchantability and fitness for a particular purpose. No oral or written advice from the SERVICE PROVIDER creates any additional warranty.

Limitation of Liability

THE SERVICE PROVIDER AND OPERATOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM USE OR INABILITY TO USE THE SERVICE.

Refund and Cancellation

Membership fees are non-refundable except when a transaction fails but the amount is still deducted from your account. Refunds do not apply to successfully completed transactions. If you do not receive a confirmation receipt after payment, please contact us immediately.

Intellectual Property

The Hoopstr and Coherendz names, logos, and marks are trademarks of Coherendz India Private Limited. You may not display or use these marks without prior written permission. To report violations, contact: hello@hoopstr.ai.

Entire Agreement

These Terms of Use constitute the complete agreement governing your use of the Service and supersede all prior written or oral agreements between you and the SERVICE PROVIDER.
